1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you") and Rezva. Rezva is operated by Hasan Qassim Ijayyil, trading as Rezva, with Ayman Trad as co-founder ("Rezva", "we", "us", "our"). These Terms govern your access to and use of the Rezva platform, including our autonomous commerce agents, dashboard, APIs, and related services (collectively, the "Services").

By creating an account, subscribing to a plan, or otherwise accessing the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you are acting on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you must not access or use the Services.

2. Description of Services

Rezva provides merchant-owned commerce automation infrastructure for e-commerce businesses. Rezva connects to the merchant's own approved channels and tools, then helps the merchant process customer conversations, order records, risk reviews, operational alerts, and live output under the merchant's configuration and control.

The current Rezva Commerce package includes:

  • Order Engine — receives customer messages from connected commerce channels, helps collect missing order details, confirms orders, and records structured order data for the merchant.
  • Risk Engine — reviews COD risk, fake-order signals, suspicious customer behavior, payment receipt indicators, and order reliability signals before fulfillment decisions are made.
  • Platform Integrations — you connect your own third-party accounts such as WhatsApp Business, Instagram DM, Instagram comments, Facebook comments, Messenger, Telegram operations, Google Sheets/Drive, and other supported commerce tools. Rezva acts as a secure link between your accounts and our agents. We do not create, own, manage, or pay for your third-party accounts on your behalf.
  • Dashboard & Analytics — real-time monitoring, performance reporting, export history, and operational insights.

Our agents operate within the parameters you configure. You retain control over agent behavior and may require human approval before sensitive actions, or allow lower-risk actions to run autonomously within your settings.

Rezva continuously improves its Services. We may introduce new features, modify existing functionality, or deprecate certain capabilities. Material changes that affect your use will be communicated with reasonable advance notice.

Rezva is a commerce automation platform for e-commerce merchants. While Rezva uses AI models as internal infrastructure to power its automation capabilities, Rezva does not provide, sell, or distribute general-purpose generative AI capabilities to end users.

3. Accounts & Registration

To access the Services, you must sign up and provide accurate, complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials.
  • All activities that occur under your account.
  • Notifying us immediately if you suspect unauthorized access to your account.

You must be at least 18 years old to sign up. One person or legal entity may not maintain more than one free trial account.

4. Subscriptions & Billing

Pricing

Rezva Commerce is offered as a monthly subscription for the Order Engine and Risk Engine package. Pricing is displayed on our pricing page. All prices are exclusive of applicable taxes unless stated otherwise.

Billing Cycle

Subscriptions are billed monthly. Your billing cycle begins on the date you subscribe to a paid plan. Payment is due at the start of each billing period.

Upgrades & Downgrades

You may upgrade, downgrade, or change your subscription when additional Rezva packages become available. Downgrades take effect at the start of the next billing period unless stated otherwise.

Payment Methods

We accept payment through an authorized PCI-compliant payment provider. Rezva does not store full card numbers, CVV codes, or raw payment credentials. By subscribing, you agree to provide a valid payment method and authorize Rezva or its payment provider to charge your selected payment method monthly until you cancel. Charges may appear as "Rezva", the payment provider's descriptor, or a similar billing descriptor on your card statement.

Failed Payments

If a payment fails, we will make reasonable attempts to process the charge. If payment remains unsuccessful after 7 days, we may suspend access to the Services until the outstanding balance is resolved.

5. Free Trials

Rezva may offer a 7-day free trial for eligible new customers. During the trial period, you receive access to the Services at no charge, subject to the package and setup path selected.

If your trial starts without a payment method, it ends unless you add a valid payment method and accept paid subscription billing. If you add a valid payment method and accept paid subscription billing, your subscription renews monthly after the trial until you cancel. We will send a reminder before your trial ends.

Free trials are limited to one per customer. We reserve the right to determine trial eligibility at our discretion.

6. Refund Policy

Rezva is a subscription-based platform of autonomous commerce agents that begin delivering value immediately upon activation. Because access to the Order Engine, Risk Engine, and their processing capabilities is granted at the start of each billing period, refunds are generally not available once the platform has been actively used.

If your account has logged 15 or more agent actions during the current billing period, the subscription is considered used and no refund will be issued. Agent actions include, but are not limited to, orders processed, risk assessments performed, customer messages handled, customer profiles updated, or operational records created.

If your account has logged fewer than 15 agent actions, you may request a refund within 14 days of the billing charge by contacting billing@rezva.app. Approved refunds are submitted through the payment provider to the original payment method. Bank, card, and payment provider processing times may vary.

Billing Errors: The only exception is billing errors, including duplicate charges, incorrect amounts, or unauthorized renewals where no meaningful platform usage occurred. These may be disputed within 14 days of the charge regardless of action count by contacting billing@rezva.app.

Cancellation: If you cancel your subscription, you will retain access to the Services until the end of your current billing period. No refund is issued for unused time remaining after cancellation.

Free Trial: If you cancel before your 7-day free trial expires, you will not be charged.

7. Acceptable Use

You agree to use the Services in accordance with all applicable laws and regulations. You may not:

  • Use the Services for any unlawful purpose or to facilitate illegal activity.
  • Attempt to reverse-engineer, decompile, or disassemble any part of the Services.
  • Interfere with or disrupt the integrity or performance of the Services.
  • Access the Services through automated means (bots, scrapers) except through our authorized APIs.
  • Resell, sublicense, or redistribute access to the Services without our written consent.
  • Use the Services to transmit spam, malware, deceptive content, or harmful content.
  • Use connected messaging channels in a way that violates Meta, WhatsApp, Instagram, Facebook, Messenger, Telegram, Google, or any other connected platform's policies.
  • Circumvent any usage limits, rate limits, or security measures.
  • Free Trial Abuse: You may not create multiple accounts, use VPNs/proxies to mask identity, or use disposable email addresses to bypass the 7-day trial limit. Attempting to exploit the free trial for long-term unpaid access is strictly prohibited.

Violation of this section may result in immediate suspension or termination of your account and a permanent ban from the platform.

8. Data & Integrations

Your Data

You retain ownership of all data you provide to or generate through the Services ("Customer Data"). You grant Rezva a limited, non-exclusive license to process, store, and transmit Customer Data solely for the purpose of providing and improving the Services.

Third-Party Integrations — Rezva as a Linker

Rezva acts exclusively as a link between your existing third-party accounts and our commerce agents. When you connect a platform such as WhatsApp Business, Instagram DM, Instagram comments, Facebook comments, Messenger, Telegram operations, or Google Sheets/Drive through Rezva, you are authorizing Rezva's agents to interact with that platform on your behalf using only the access you provide.

Important clarifications about our integration model:

  • Your accounts, your responsibility — you create, own, and manage all third-party accounts yourself. Rezva does not create accounts on third-party platforms for you, nor do we manage or pay for them.
  • No password storage — Rezva does not store your third-party login credentials, passwords, raw provider secrets, or payment information. Connections are established through secure token or secret references authorized directly on the third-party platform.
  • No financial access — Rezva does not access, store, or process your credit card details, bank account information, or any billing data associated with your third-party accounts.
  • Third-party terms apply — your use of connected platforms is governed by those platforms' own terms of service, privacy policies, and pricing. Rezva is not responsible for the availability, pricing, or policies of third-party services.
  • Revocable access — you may disconnect any integration at any time through your Rezva dashboard or directly from the third-party platform's settings.

Data Security

We implement commercially reasonable security measures to protect Customer Data. However, no method of electronic transmission or storage is 100% secure. You acknowledge that you provide data at your own risk.

Data Portability

Upon request, we will provide you with an export of your Customer Data in a standard, machine-readable format. Data export requests are processed within 30 days.

9. Meta, WhatsApp, Instagram, Facebook, And Messenger Compliance

If you connect WhatsApp Business, Instagram, Facebook, Messenger, or any Meta-owned channel through Rezva, you confirm that you own or are authorized to manage the connected business account, Page, profile, phone number, catalog, or messaging asset.

You are responsible for complying with all applicable Meta, WhatsApp, Instagram, Facebook, and Messenger rules, including opt-in requirements, opt-out requests, approved Message Template rules, the 24-hour customer service window, content restrictions, prohibited goods, regulated-vertical restrictions, commerce policies, and applicable law.

  • You may not use Rezva to send unsolicited, deceptive, misleading, or spam messages.
  • You may not use Rezva to sell, promote, or facilitate illegal products or services, restricted goods, regulated goods, adult products, gambling, payday lending, drugs, weapons, or other categories prohibited by the connected platform.
  • You must honor any customer request to block, discontinue, unsubscribe, or otherwise opt out of messaging, whether the request is made through Rezva, the merchant, or the connected platform.
  • Outside a platform's permitted service window, you may only send messages when the relevant platform allows it, such as through an approved WhatsApp Message Template or a permitted manual human-agent response.

Rezva may suspend, disable, limit, or disconnect any store, channel, automation, template, or account that we reasonably believe may violate platform rules, create enforcement risk, harm users, or damage Rezva's access to provider platforms.

10. Automation And Human Escalation

Rezva may send automated replies, order questions, confirmations, risk notices, delivery updates, and operational messages within the merchant's settings and the connected platform's rules. You remain responsible for configuring the agents, reviewing sensitive decisions, and ensuring your customer-facing policies are accurate.

You must maintain a prompt, clear, and direct human escalation path for customer conversations. This may include a phone number, email address, store contact details, dashboard handoff, support form, or other merchant-controlled path that allows a customer to reach a real person when needed.

Rezva may disclose that a response is automated, especially on first contact or when required by law or platform policy. You may not configure Rezva to mislead customers about whether a response is automated or human-written.

11. Intellectual Property

The Services — including all software, algorithms, agent architectures, user interfaces, documentation, branding, and content — are the exclusive property of Rezva or its licensors and are protected by intellectual property laws.

These Terms do not grant you any right, title, or interest in the Services beyond the limited right to use the Services as described herein. You may not copy, modify, or create derivative works based on the Services.

Any feedback, suggestions, or ideas you provide about the Services may be used by Rezva without obligation or compensation to you.

12. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • Rezva shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, revenue, business, or goodwill.
  • Rezva's total aggregate liability for any claims arising from or related to these Terms or the Services shall not exceed the amount you paid to Rezva in the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such cases, our liability is limited to the fullest extent permitted by law.

Agent Actions

While our autonomous agents operate with high accuracy, you acknowledge that AI systems may occasionally produce unexpected results. You are responsible for configuring appropriate approval settings and reviewing agent actions that are material to your business. Rezva is not liable for decisions made by agents operating in fully autonomous mode as configured by you.

13. Termination

By You

You may cancel your subscription at any time through your dashboard or by contacting us. Cancellation takes effect at the end of your current billing period. You will not receive a refund for the current period, but you will retain access to the Services until the period expires.

By Rezva

We may suspend or terminate your account if you:

  • Violate these Terms or our Acceptable Use policy.
  • Fail to pay fees when due, after reasonable notice.
  • Use the Services in a manner that poses a security risk or may cause harm to other customers.

We will make reasonable efforts to notify you before termination except where immediate action is required for security or legal compliance.

Effect of Termination

Upon termination, your right to access the Services ceases immediately. We will retain your Customer Data for 30 days following termination, during which you may request an export. After this period, your operational data will be deleted or anonymized, except for billing records, fraud/security records, legal records, and audit logs that we must retain for compliance, dispute handling, or platform security.

14. Changes to Terms

We may update these Terms from time to time to reflect changes to our Services, legal requirements, or business practices. When we make material changes, we will:

  • Post the updated Terms on this page with a revised "Last updated" date.
  • Notify you via email or through an in-product notification at least 30 days before the changes take effect.

Your continued use of the Services after the effective date of updated Terms constitutes acceptance of those changes. If you do not agree with the updated Terms, you may cancel your subscription before the changes take effect.

15. Governing Law

These Terms are governed by the laws of the Republic of Iraq. Disputes shall be resolved through good-faith negotiation between the parties. Rezva reserves the right to update the governing jurisdiction upon formal business incorporation in another territory, with reasonable notice to active subscribers.
